1. Definitions
1.1. This End-User License Agreement (EULA) governs the use of the LogAgent desktop application (the "Software") between the Licensor — Vakser Artem Alekseevich (Individual Entrepreneur), Russia — and the User (the "Licensee"). The Software is sold through our Merchant of Record, Paddle; commercial terms are in the Terms of Use.
1.2. Installing or using the Software constitutes acceptance of this EULA.
2. License grant
2.1. The Licensor grants a non-exclusive, non-transferable license to install and use the Software on one device bound to its Hardware ID, for the term of the chosen plan (subscription or perpetual).
2.2. The license is granted for the Licensee's personal or internal business use.
3. Restrictions
3.1. The Licensee may not:
- Reverse engineer, decompile, or disassemble the Software, except as permitted by law
- Copy, resell, sublicense, rent, or otherwise distribute the Software or license key
- Circumvent activation, protection, or technical limitation mechanisms
- Remove or alter proprietary notices
4. Intellectual property
4.1. The Software is licensed, not sold. All intellectual property rights in the Software remain with the Licensor.
5. Data and privacy
5.1. The Software is local-first: tracking and analytics run offline, and activity data is stored only on the Licensee's device in a local database.
5.2. Camera-based analysis runs locally in memory; frames and video are never stored, and the camera can be disabled at any time. Data handling is described in the Privacy Policy at https://logagent.app/privacy-policy.
6. Updates
6.1. The Licensor may provide updates that improve or modify the Software. This EULA applies to all updates unless they are accompanied by separate terms.
7. Term and termination
7.1. For subscriptions, the license is valid for the paid period; a perpetual license is granted for the purchased version without a time limit.
7.2. The license terminates automatically upon a material breach of this EULA. Upon termination, the Licensee must stop using and remove the Software.
8. Warranty disclaimer
8.1. The Software is provided "as is", without warranties of any kind, to the extent permitted by applicable law.
9. Limitation of liability
9.1. To the extent permitted by law, the Licensor's total liability is limited to the amount paid for the license. The Licensor is not liable for indirect or consequential damages, or for decisions made based on the Software's analytics. The Software does not provide medical advice.
10. Governing law
10.1. This EULA is governed by the laws of [governing-law jurisdiction], without prejudice to mandatory consumer rights in your country of residence. Matters not covered here are governed by the Terms at https://logagent.app/terms.
